Due Diligence Automation

Know what is missing before the room opens.

Starch runs the diligence behind the room: your checklist scored and the numbers ticked and tied, every answer checked before it counts, and every buyer request in one tracker.

How it runs

Watch the work happen.

01 · Ingest

Point it at the pile.

The seller's files arrive from folders, an ERP and a CRM. Starch reads all of it the way an analyst would, and files it the way your firm files.

02 · Reconcile

Your checklist, ticked and tied.

Starch scores every item against your own template and checks the numbers agree across the systems they came from, with the file and the line that answered each one.

03 · Verify

A file in place is not an answer.

Starch reads what each file says: whether the answer holds, whether the figures agree, and whether the clause is where it was claimed. The doubtful rows go to a person.

04 · Track

Every question, one tracker.

Buyer questions land in one list with the answer and the clause attached, arriving from the room's Q&A or from a spreadsheet a counterparty insists on.

05 · Chase

The chase list writes itself.

Missing and partial items split by the person who owes them, with the ask already drafted and the next reminder scheduled.

06 · Release

Open the room with a clean trail.

Starch moves reviewed material into the VDR you chose, and every release stays on the record: who approved it, and what it answered.

What changes

The gaps surface before the buyer asks.

Before

Junior bankers open every file, reconcile it by hand and find the gaps after the buyer asks.

With Starch

The checklist, every request and its answer, and the open gaps stay current from intake to the room.

Before you book

Asked about Due Diligence Automation.

Does this replace our data room?
No, the opposite: your chosen room stays the room, whether that is Datasite, Intralinks, Firmex or the firm's own. Starch builds the readiness behind it, works the request list, and moves reviewed material in when it is ready.
What counts as an answer?
The answer, not the file. Every response links to the page and the clause it came from, and the ones that do not hold go to a person rather than a score. Clearing a doubt can lower the number.
What if a counterparty insists on Excel?
The tracker exports to the spreadsheet they expect and reads it back, so the deal stays one list whether it lives in the room's Q&A or in someone's inbox.
Which desk is this built for?
M&A deal teams, on both sides of the table. See the desk diligence runs on.
How does this compare with Harvey or Rogo?
