These terms govern your use of starch.ai (the "Site"), operated by Emporium Tech, Inc., a Delaware corporation doing business as Starch ("Starch", "we", "us"). By using the Site you agree to them. If you do not agree, please do not use it.
Starch builds and deploys software for finance desks under a separate written agreement with each client. That agreement, not this page, governs the software, the fees, the service levels, the handling of firm data, and the liability between us. Nothing on this page creates a right to use the software, and nothing on this page overrides a signed agreement.
The Site is informational. It describes what Starch builds, lists open roles, and offers a form for asking to see a demonstration. It does not provide the software, and no account is created by using it.
Submitting the form is a request, not an agreement, and neither of us is committed to anything by it. When you submit it you confirm that:
Please do not send confidential material through the form. It is an ordinary web form and an ordinary inbox, and there is no confidentiality agreement in place between us until one is signed. Anything you do send is handled as described in our Privacy Policy, but we cannot treat it as confidential.
By submitting the form you agree that we may contact you about your request. We do not add you to a marketing list on the strength of a demo request.
You may read the Site, share links to it, and quote it with attribution. You may not:
If you believe you have found a security issue, please write to hello@starch.ai before disclosing it. We will not pursue a claim against anyone who reports a genuine issue in good faith, gives us reasonable time to fix it, and does not access or alter anyone else's data.
The Site, its text, design, artwork and code belong to Starch or our licensors, and are protected by copyright and other laws. The Starch name and mark are ours. These terms grant you no licence to either, beyond reading and linking to the Site.
If you send us anything that is not personal information, such as a suggestion, a comment on how a desk works, or a description of a problem, you grant us a non-exclusive, royalty-free, perpetual licence to use it without obligation to you. Do not send anything you want to keep.
The Site describes software. Nothing on it is financial, investment, legal, tax, accounting, or regulatory advice, and nothing on it is an offer or solicitation to buy or sell any security or other instrument. Do not rely on it in making a decision of that kind. Where the Site describes what the software does for a desk, it describes capability, not a result you will obtain.
The Site links to services we do not control, including our applicant tracking system and our accounts on third-party platforms. Those services have their own terms and privacy policies, and we are not responsible for them.
We provide the Site as it is, and may change, suspend, or withdraw any part of it at any time without notice. We do not promise it will be available or uninterrupted. Pages that once existed here have been removed, and we are under no obligation to keep any URL working.
To the fullest extent the law allows, the Site is provided "as is" and "as available", without warranty of any kind, whether express, implied, or statutory. We disclaim the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Site will be accurate, current, secure, or error-free. Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.
To the fullest extent the law allows, Starch and its officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of your use of the Site, whether the claim is in contract, tort, or otherwise, and even if we were told such damages were possible.
Our total liability arising out of the Site will not exceed one hundred United States dollars (US$100). This limit does not apply to liability that cannot be limited by law, including liability for fraud, for fraudulent misrepresentation, or for death or personal injury caused by negligence. Some jurisdictions do not allow these limitations, so parts of this section may not apply to you.
This section concerns the Site. Liability for our software is governed by the written agreement under which it is provided.
You will indemnify Starch against any claim, loss, or expense, including reasonable legal fees, arising out of your breach of these terms, your misuse of the Site, or your violation of any law or third-party right in connection with it.
These terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. Any dispute arising out of them or the Site will be brought exclusively in the state or federal courts sitting in New York County, New York, and each of us consents to the jurisdiction of those courts. Each of us waives any right to a jury trial and to bring a claim as a class action or in a representative capacity.
We may update these terms. The date above will change, and continuing to use the Site after a change means you accept it. For a change that materially affects your rights we will give notice on the Site at least 30 days beforehand.
These terms, with the Privacy Policy, are the entire agreement between us regarding the Site, and supersede anything said or written about it beforehand. If a provision is held unenforceable, the rest stands and that provision is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver of it. You may not assign these terms; we may assign them to a successor in a merger or sale of assets. Sections 4, 5, 8, 9, 10 and 11 survive any termination.
